These Terms of Service (“Terms”) govern your use of the website operated by ProGreen Solar LLC(“ProGreen Solar,” “we,” “us,” or “our”) located at https://www.progreen-solar.com (the “Website”) and any services we provide (collectively, the “Services”). By accessing the Website or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or our Services.

1. Agreement to Terms

By accessing or using our Website, submitting a contact form, requesting a quote, using our solar calculator, or engaging our installation services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you andProGreen Solar LLC.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on this page. Your continued use of the Website after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Description of Services

ProGreen Solar provides the following services:

  • Residential and commercial solar energy system design and installation
  • Battery storage system installation (e.g., Tesla Powerwall)
  • Solar roof system installation (e.g., Tesla Solar Roof)
  • Solar system maintenance, monitoring, and repair services
  • Solar energy consultations and site assessments
  • Coordination of financing, permitting, and utility interconnection

Specific terms governing individual service engagements, including scope of work, pricing, timelines, and warranties, will be detailed in separate written agreements (e.g., Installation Agreements, Service Contracts) that supplement but do not replace these Terms.

3. Quotes and Estimates

Quotes, estimates, and savings projections provided through our Website, solar calculator, or consultations are for informational purposes only and do not constitute binding offers. All quotes are subject to a detailed site assessment and may change based on actual property conditions, utility requirements, permitting costs, and other factors discovered during the evaluation process.

Solar savings estimates are based on current electricity rates, historical solar production data, and available incentive programs. Actual savings may vary based on changes in electricity rates, weather patterns, system performance, energy consumption changes, and modifications to incentive programs. ProGreen Solar does not guarantee specific savings amounts.

Final pricing, system specifications, and project terms will be documented in a formal Installation Agreement that must be signed by both parties before any installation work begins. No work will commence without a fully executed agreement.

4. Payment Terms

Payment terms are specified in your individual Installation Agreement and may include:

  • Cash Purchase: Payment schedule as outlined in the Installation Agreement, typically with a deposit upon signing and final payment upon system completion and activation.
  • Solar Financing: Subject to credit approval through our lending partners. Financing terms, interest rates, and monthly payments are governed by the loan agreement between you and the lending institution.
  • Solar Lease / PPA: Subject to credit approval. Lease and PPA terms are governed by the agreement between you and the leasing/PPA provider.

ProGreen Solar is not a financial institution and does not provide financing directly. We facilitate connections with third-party lending and leasing partners. All financial agreements are between you and the respective financial institution.

5. Warranty

ProGreen Solar provides the following warranty coverage:

  • Workmanship Warranty: We warrant our installation work for a period of twenty-five (25) years from the date of system activation. This warranty covers defects in workmanship related to the installation of solar panels, inverters, racking, wiring, and other system components. This warranty specifically includes roof penetration waterproofing related to our installation.
  • Equipment Warranties: Solar panels, inverters, batteries, and other equipment are covered by their respective manufacturer warranties. Warranty terms vary by manufacturer and product and are provided separately. ProGreen Solar will assist you in processing any manufacturer warranty claims.

Warranty coverage does not extend to damage caused by acts of nature (beyond normal weather conditions), unauthorized modifications, improper maintenance by the homeowner, structural changes to the property, or failure to provide reasonable access for monitoring and service.

The ProGreen workmanship warranty is fully transferable to subsequent property owners at no additional cost, provided we are notified of the property transfer within 90 days of the sale.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROGREEN SOLAR LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR WEBSITE OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of or related to these Terms or our Services shall not exceed the total amount paid by you to ProGreen Solar under the applicable Installation Agreement in the twelve (12) months preceding the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be legally excluded or limited.

7. Intellectual Property

All content on this Website, including text, graphics, logos, images, software, and design elements, is the property of ProGreen Solar LLC or our content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website without our prior written consent, except for personal, non-commercial use in connection with evaluating our Services.

8. Website Use

You agree to use our Website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Website in any way that violates any applicable federal, state, local, or international law or regulation
  • Engage in any conduct that restricts or inhibits anyone else's use or enjoyment of the Website

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall first be submitted to good-faith mediation in Longmont, Colorado. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Longmont, Colorado.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

10. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Website or Services following the posting of any changes constitutes acceptance of those changes.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
